Durianpay is hiring a strategic
Head of Legal
& Corporate Secretary
to lead our legal, governance, and corporate affairs function. You will safeguard Durianpay's interests across regulatory, commercial, and corporate domains while ensuring our board and shareholders have world-class governance support. This is a pivotal role for a senior leader who can combine sharp legal judgment with startup pragmatism and thrive in fast-scaling environments.

Job description and key responsibilities:

1. Legal Advisory & Commercial Contracts

  • Act as the company's chief legal counsel, providing advice on strategic, operational, and regulatory matters.
  • Draft, review, and negotiate commercial contracts, merchant agreements, vendor partnerships, and strategic deals.
  • Partner with Product and Engineering to design compliant products and features from the ground up.

2. Corporate Secretary & Governance

  • Serve as Corporate Secretary for the Board and Shareholders, ensuring compliance with Indonesian corporate law and best practices.
  • Manage board meetings, minutes, resolutions, and shareholder communications.
  • Ensure timely corporate filings, statutory reporting, and maintenance of corporate records.

3. Regulatory & Licensing Affairs

  • Support applications, renewals, and ongoing obligations for PSP licenses and other regulatory approvals (BI, OJK, MAS).
  • Liaise with regulators on legal or governance-related matters and represent the company in external engagements.
  • Anticipate regulatory changes and advise management on implications for business strategy.

4. Disputes, Risk, and Litigation Management

  • Oversee dispute resolution, litigation, and claims management with external counsel where necessary.
  • Develop pre-emptive frameworks for handling merchant disputes, chargebacks, fraud-related claims, and compliance investigations.
  • Embed legal risk management into business decision-making processes.

5. Corporate Structuring & Transactions

  • Lead corporate structuring, M&A readiness, and investment-related legal processes (fundraising, shareholder agreements, ESOP implementation, etc.).
  • Ensure alignment of group-level legal structures across Indonesia, Singapore, and other jurisdictions.
  • Partner with Finance and Compliance to align governance with treasury, tax, and capital management strategies.

6. Leadership & Cross-Functional Partnering

  • Build and lead a high-performing legal team that scales with Durianpay's growth.
  • Partner with Compliance, Risk, Finance, and Operations to ensure a cohesive governance ecosystem.
  • Act as a trusted advisor to the CEO, Board, and Executive team on critical legal and governance issues.

Requirements:

  • 8–12 years of legal experience, ideally with a blend of top-tier law firm and in-house (fintech, banking, or payments).
  • Proven track record as a Corporate Secretary or senior legal counsel in a regulated industry.
  • Deep understanding of Indonesian corporate law and governance, with exposure to Singaporean law a plus.
  • Experience handling commercial contracts, corporate structuring, M&A, and regulatory engagement.
  • Strong stakeholder management skills with the ability to influence at Board and regulator level.
  • Pragmatic, business-minded, and able to operate in ambiguity while ensuring compliance and legal soundness.
