About the role

We are seeking an experienced Legal Manager to join our dynamic team at PT. Sumber Energi Surya Nusantara in Jakarta. SESNA Group was established based on passionate to contribute helping the future of Indonesia's renewable energy sector, focusing on Solar Project Development & Independent Power Producer (IPP).

What you'll be doing

  • providing legal support to ensure the development of renewable energy projects complies with applicable laws, including:

(i) advising on and preparing the necessary documentation for permit applications; (ii) advising on and drafting cooperation agreements with potential partners involved in project development; and

(iii) reviewing and negotiating EPC (Engineering, Procurement, and Construction) agreements, operational lease agreement, financing agreement, and power purchase agreements (PPAs).

  • Advising on operational issues related to existing projects, including engagement with vendors and government authorities to mitigate project risks. Supporting the preparation and review of routine project subcontracts
  • Monitoring the compliance of operating project companies with lenders' and financiers' requirements, including coordination of Know Your Customer (KYC) processes and submission of relevant updates and documentation.
  • Providing legal advice on land acquisition matters involving various land categories (such as HGU, HPL, forest areas, and customary lands), and preparing the required acquisition documentation.
  • Overseeing corporate compliance of project companies with applicable company laws, including the preparation of shareholder resolutions and annual general meeting (AGMS) documents.
  • Advising on carbon credit transactions and ensuring compliance with carbon regulatory frameworks.
  • Participated in the restructuring of group company shareholdings and in the acquisition of shares in renewable energy and biomass plantation companies.
  • Supporting legal due diligence and risk assessment in connection with project financing transactions, particularly in the renewable energy and infrastructure sectors.
  • Participating in legal due diligence, structuring, and execution of M&A transactions, including the acquisition of shares and/or assets in renewable energy, plantation, or infrastructure companies.
  • Implementing and monitoring internal governance frameworks, policies, and controls to ensure adherence with applicable legal, regulatory, and ethical standards. Supporting the establishment and maintenance of corporate governance best practices across the group and affiliated entities.

What we're looking for

  • Minimum Bachelor of Law from a reputable university;
  • Having at least 4–5-year experience in energy sector (Will be Plus)
  • Fluent in English both oral and written
  • Excellent oral and written communications skill
  • Good understanding of construction business flow, operational lease, and PPA.
  • Able to identify complex legal issues.
  • Have experience in licencing of electric power plant/ installations.
  • Have good understanding of contracts and agreements.
